Purpose 

The purpose of the SeaChange Terms and Conditions is to notify customers and website visitors of the Terms and Conditions of the use of our Systems.

 

Audience 

The SeaChange Terms and Conditions applies to persons who have, or may have information collected through the conduct of normal business activities with SeaChange. The primary methods of information collection can include, but may not be limited to the SeaChange website, through email, or as part of certain file transfers. 

 

Description of the Product or Service 

SeaChange provides a range of IT systems and services (hereinafter referred to as “Services”). These Services are designed to assist our customers in managing their IT infrastructure efficiently and securely and include SFTP, APIs and web pages & portals. 

 

Right to Monitor and Revoke Access 

SeaChange reserves the right to monitor any and all activities related to its assets. This includes, but is not limited to, system usage, data transmission, and network traffic. SeaChange also reserves the right to revoke access to any of its assets at any time, for any reason, without prior notice. 

 

User Accounts

For systems requiring authentication, each customer is required to use a unique, individual user account when accessing our Services. Sharing of user accounts is strictly prohibited. Customers are responsible for maintaining the confidentiality of their account information, including their password, and for all activity that occurs under their account. Customers are required to notify SeaChange immediately of any unauthorized use of their account or any other breach of security.

 

Liabilities of the Organization and the Customer 

SeaChange will not be held liable for any damages or losses resulting from unauthorized access to our systems, data breaches, or any other security incidents. The customer is responsible for maintaining the security of their own systems and data. SeaChange will not be held liable for any damages or losses that result from the customer’s failure to do so.

By using our Services, the customer agrees to indemnify and hold harmless SeaChange from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of the customer’s use of our Services.

 

Acknowledgement of Terms 

By using our Services, the customer acknowledges that they have read, understood, and agreed to these Terms and Conditions. If the customer does not agree with these Terms and Conditions, they should discontinue use of our Services immediately.

 

Security 

• We take precautions to protect your information both online and offline.
• SeaChange has implemented administrative, physical and technical safeguards to protect information we collect and maintain.
• Transactions over the Internet involving information are encrypted.
• We restrict access to your information maintained within our databases to authorized users.
• Information is kept only as long as necessary for the intended purpose or service.

HIPAA 

In may be possible that certain personal health information we collect may be protected health information ("PHI") within the meaning of the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"). To the extent applicable, SeaChange agrees to comply with HIPAA and the rules issued pursuant to HIPAA.
